These legally binding Terms and Conditions   (the “ Terms ”) constitute an agreement enforceable by law (the “ Agreement ”) between you and  TAWAREF CAPITAL SPC,  a segregated portfolio company incorporated in the Cayman Islands, with company number TR-384126 and its registered office a Trident Trust Company (Cayman) Limited, One Capital Place, P.O. Box 847, George Town Grand Cayman KY1-1103, Cayman Islands  (“Tawaref”, “we”, “us” and/or “our”)  governing your access to and use of the  Tawaref  website, including any subdomains thereof, and any other websites through which Tawaref makes its services available (collectively, “Site”), our mobile, tablet and other smart device applications, and application program interfaces (collectively, “Application”) and all associated services (collectively,      “Tawaref Services”).  The Site, Application and Tawaref Services together are hereinafter collectively referred to as the  “Tawaref Platform”  .

The following terms and conditions govern your use of Tawaref platform, and by extension to actual services and real investment opportunities offered by Tawaref .

Tawaref offers different investment opportunities to all categories of investors, startups or venture capital, these categories are:

• Direct investment made by a natural investor.
• Investment made by different investors into a sole portfolio company.
• Introducing investors to potential investee companies.
• Helping startups to raise any amount of requested funds.
• Introducing investors to different sort of venture capitalist.

Tawaref is a specialized platform and company that offers the right to any investor the proper use of the amount that he wishes to invest, in the right place or company or startup that he expects to invest in. Tawaref will assist the investor to invest his money and assist the VC or Startup to raise the desired amount needed to be invested in.

By using our platform, you consent that these terms will automatically apply to you. You should make sure therefore that you read them carefully before using it. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use this platform nor make any investment.

The registration, and other information related to the investor is subject of Tawaref 's privacy policy, and the information we collect is protected by reasonable technical means and reasonable security measures for the purpose of preventing unauthorized access or use of data.

By making the registration on the platform, Tawaref will be responsible of your investment and will assist you to choose the right company to invest In or will assist your company to raise any amount of funds desired and designated by your company or startup.

You also declare that all contact information you provided to us, belong to your person(s), and are true and current, and are not part of any automatically generated content, nor misrepresent facts or realities needed for Tawaref to serve you as a potential investee company or investor.

How To Use:

• In order to access and use the Tawaref Platform or register an Tawaref Account you must be an individual at least 18 years old, and able to enter into legally binding contracts.
• Access to and usage of the Tawaref Platform is subject to completing a verification process for which KYC documents shall be required.
• You may be required to register an account (“Tawaref Account”) to access and use certain features of the Tawaref Platform. If you are unable to register, Tawaref shall create the same for you.
• You can register an Tawaref Account using an email address and creating a password, or through your account with certain third-party social networking services, such as Facebook or Google.
• You must provide accurate, current and complete information during the registration process and keep your Tawaref Account up to date at all times.
• You may not register more than one (1) Tawaref Account unless Tawaref authorises you to do so. You may not assign or otherwise transfer your Tawaref Account to another party.
• You are responsible for maintaining the confidentiality and security of your Tawaref Account credentials and may not disclose your credentials to any third party.
  
  

Information Collected:
 

Tawaref owns the intellectual property rights, the trademarks, the copyright and the database of the platform and its material. You should not copy or modify the platform or any part of it or our trademarks in any way. You also should not try to:

• translate the platform into other languages or make derivative versions.
• republish material from this platform (including republication on another platform)
• sell, rent or sub-license material from the platform.
• misappropriate or in any way divulge information material(s) from the platform not intended for such dissemination by Tawaref.
• reproduce, duplicate, copy or otherwise exploit material on this platform for a commercial purpose.
• edit or otherwise modify any material on the platform.
• redistribute material from this platform.

You may view, download for caching purposes only, and print pages from the platform for your own personal use, subject to the restrictions set forth above and elsewhere in these terms and conditions.

Unacceptable uses and behavior:

• You must not use this platform in any way that causes, or may cause, damage to the platform or impairment of the availability or accessibility of the platform; or in any way, which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
• You must not use this platform to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit, or other malicious computer software.
• You must not conduct any systematic or automated data collection activities (including without limitation scraping, crawling, data mining, data extraction and data harvesting) on or in relation to this platform without procuring Tawaref express written consent in advance.
• You must not use this platform to transmit or send unsolicited commercial communications, for free or for any form of compensation.
• You must not use this platform for any purposes related to marketing without procuring Tawaref express written consent in advance.
• You are liable for any behaviour, act or conduct that is contrary to the laws and regulations enforced in international and national laws that would cause any danger or damage to the investment cycle or to Tawaref’s reputation more generally. This may give rise to either or both legal action and compensation.
  
  
  

Disclaimer of Liabilities and warranties:

At investment cycle, please understand that:

• Tawaref is not responsible for legal or financial due diligence or extra information required to the investment cycle unless expressly requested by the investor.
• Tawaref will not be responsible to you for any direct, indirect, special, or consequential loss that you may experience during or after investment cycles.
• Tawaref is not responsible for any refund made to the investor in case the ticket size if the investment required was not reached.
• Tawaref is not responsible for any extra fees, taxes incurred during the investment cycle due to the investment made.
• Tawaref is not responsible in case the invested amount was by any means gained by unlawful manners or used for money laundering purposes or any other illegal sources.
• The investor is aware that any necessary KYC, documentations or contractual agreement that will be entered between the Investor and the potential investee company should be made and finalised only Through Tawaref.
• Tawaref is not responsible for any legal measures that will be taken towards the investor or compensation in case the investor declared a false invested amount or decided to invest without going through Tawaref platform despite the assistance of Tawaref to his investment cycle.
• Tawaref is not responsible if your investment was not accepted if the fees of Tawaref that have been agreed on between the parties were not paid by the investor.
• Tawaref provide several investment cycle opportunities for natural investors, angel investors, VC companies and Startups, in return each investment cycle is charged by Tawaref with a certain percentage fee corresponding to the amount invested and related to the nature of the investment cycle, this fees are non-negotiable and by all means must be transferred or paid to Tawaref due to the services provided during the signed agreement with Tawaref.

At platform use, you understand that:

• Investment tickets or amounts and investment availability are subject to change without notice, but not after any investment cycle confirmation.
• This platform is subject to modifications and revisions at any time and without notice.
• Invested amounts are subject to VAT and governmental fees, charges, or duties, where and when applicable.
• Tawaref shall not be responsible for any direct or indirect damages resulting from any aspect of your misuse of the platform, interruption, suspension, modification, alteration or termination of the platform, through whatever means and whether planned and purposed or not.
• Tawaref will not be responsible for damages to electronic devices resulting from your use of our Platform.
• Although we exert reasonable efforts to assure accuracy, cannot be responsible for typographic errors on this platform.
• Tawaref reserves the right to blacklist any customer and/or refuse any investment made on the platform without obligation to furnish reason for such action.
• Tawaref shall have the right to monitor the contents of the site and to freely communicate information or materials. The site may disclose any information in any case authorized by law.
• Tawaref may provide other translated versions of these Terms & Conditions in various languages.

 

Content:

Tawaref may, at its sole discretion, enable Members to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, or other materials and information on or through the Tawaref Platform (“Member Content”); and (ii) access and view Member Content and any content that Tawaref itself makes available on or through the Tawaref Platform, including proprietary Tawaref content and any content licensed or authorized for use by or through Tawaref from a third party (“Tawaref Content” and together with Member Content, “Collective Content”).

 

Other parties:

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this platform disclaimer will protect Tawaref’s officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as Tawaref.

Compensation:

You shall defend, indemnify, and hold Tawaref free from harm, and defend and indemnify its employees, affiliates, directors, officers, agents, service providers, against any claims, damages, liabilities, and losses (whether direct, indirect, or consequential), debt and expenses arising from:

1. Violation of a provision or all of these Terms & Conditions.

2. Violation of a right of Tawaref including copyrights, trademarks, trade secrets and other proprietary rights, privacy, know-how, secret, private and confidential information including any the platform and any investment cycle.

Termination and Restricted access:

Tawaref reserves the right to restrict access to certain areas of this platform, or indeed this entire platform, at Tawaref’s discretion.

Without prejudice to Tawaref’s other rights under these terms and conditions, if you breach these terms and conditions in any way, Tawaref may take such action as Tawaref deems appropriate to deal with the breach, including suspending your access to the platform, prohibiting you from accessing the platform, blocking computers using your IP address from accessing the platform, contacting your internet service provider to request that they block your access to the platform and/or bringing judicial including court proceedings against you.

Changes to these terms and conditions at any time:

Tawaref reserves the right to revise and modify these terms and conditions from time-to-time. Revised terms and conditions will apply to the use of this platform from the date of the publication of the revised terms and conditions on this platform. Please check this page regularly to ensure you are familiar with the current version.

Electronic Communication:

When you visit our platform or send any message by registering for any category of investment cycle, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the platform when by calling you on the number phone that you register with. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Governing law:

• This Agreement (and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to this Agreement or its formation) shall be governed by and construed in accordance with English law.
• Each of the parties to this Agreement irrevocably agrees that the competent courts of England and Wales shall have exclusive jurisdiction to hear and decide any suit, action or proceedings, and/or to settle any disputes, which may arise out of or in connection with this Agreement and, for these purposes, each party irrevocably submits to the jurisdiction of the courts of England and Wales.
